Title:Vice President, Associate General CounselJob Site:New York, NYCompany:Safra Bank of New YorkDuties:Monitor legal and regulatory compliance developments which may impact the financial services industry and the Bank, in the United States and in Brazil. Stay up to date on relevant US and Brazilian laws and regulations, including but not limited to data privacy. Interface with the Bank’s affiliate’s legal counsel located in Brazil on legal matters affecting both institutions. Liaise with outside counsel on specialized matters. Provide legal advice and support across all business and operations units of the Bank, including but not limited to reviewing, negotiating, drafting and advising on a high volume and wide range of commercial contracts and legal documents, such as distribution agreements, pledge agreements, services and supply agreements, license agreements, software/IT services agreements, referral and representation agreements, confidentially and non-disclosure agreements, engagement letters and other day-to-day documents needed to conduct the business of the Bank. Provide substantive support to the Banks’s compliance office, including to the KYC, AML and broker-dealer teams, including when those teams need legal assistance on issues related to clients in the Brazilian courts’ systems. Assist in responding to government inquiries and audits, as needed. Handel general securities litigation (class actions) issues in connection with Brazilian companies.Requirements:Juris Doctor (JD) degree and two (2) years’ experience as VP Associate Legal Services and Compliance Specialist or in a related position or in the alternative, employer will accept an LLM degree and one (1) year of experience as VP Associate Legal Services and Compliance Specialist or in a related position. Experience must include resolving legal issues related to Banking clients within the Brazilian court system; advising on high volume and diverse commercial agreements; and monitoring legal and regulatory compliance developments and ensuring compliance within relevant laws and regulations.
